1. Agreement to These Terms

These Terms & Conditions ("Terms") govern your access to and use of the website located at simplemining.io (the "Site"), the Simple Mining client dashboard, and any related products or services offered by Simple Mining LLC ("Simple Mining," "we," "us," or "our"), including hardware sales, miner hosting, repairs, marketplace listings, protection plans, financing programs, and promotional offers (collectively, the "Services").

By accessing the Site, creating an account, placing an order, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using the Site, you represent that you meet these requirements and that all information you provide is accurate and current.

3. Services Overview

Simple Mining provides Bitcoin mining-related products and services, which may include:

• Sale and procurement of mining hardware
• Hosted mining operations at Simple Mining facilities
• Miner repair, maintenance, and protection plans
• Access to a client dashboard and marketplace
• Educational content, calculators, and promotional programs

Specific Services may be subject to additional agreements, order forms, or policies. Where a separate signed or accepted agreement applies to a particular Service, that agreement controls for that Service to the extent of any conflict with these Terms.

4. Supplemental Agreements

Certain Services are governed by supplemental documents available on our Documents page, including but not limited to:

• Hosting Agreement
• Marketplace Agreement
• Miner Protection Plan
• SMS Terms & Conditions
• Free Trial Terms & Conditions

You are responsible for reviewing any applicable supplemental agreement before purchasing or using the related Service.

5. Accounts & Dashboard Access

Some Services require a client dashboard account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@simplemining.io if you suspect unauthorized access.

We may suspend or terminate dashboard access for violations of these Terms, non-payment, security concerns, or inactivity related to concluded promotional programs.

6. Orders, Pricing & Payment

All orders are subject to acceptance by Simple Mining. Prices, availability, lead times, hosting rates, repair fees, and other charges displayed on the Site or in quotes are subject to change until an order is confirmed. Taxes, shipping, deployment fees, and other applicable charges may apply.

You agree to provide valid payment information and authorize us or our payment processors to charge the amounts due. Failure to pay amounts when due may result in suspension of Services, collection action, or exercise of contractual remedies, including those described in applicable supplemental agreements.

7. Mining Rewards & Custody

Unless otherwise stated in a supplemental agreement, mining rewards generated by your hosted hardware are directed to the Bitcoin wallet address or mining pool configuration you designate. Simple Mining does not take custody of your mining rewards. You are solely responsible for providing accurate wallet and pool information. Simple Mining is not responsible for rewards sent to an incorrect address or lost due to pool policies, network conditions, or third-party service failures.

8. Acceptable Use

You agree not to:

• Use the Site or Services for unlawful, fraudulent, or abusive purposes
• Attempt to gain unauthorized access to our systems, accounts, or data
• Interfere with the operation, security, or integrity of the Site or Services
• Misrepresent your identity, ownership of hardware, or entitlement to Services
• Scrape, copy, or reverse engineer the Site except as permitted by law

9. Intellectual Property

The Site, its content, branding, logos, software, and materials are owned by Simple Mining or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Site for lawful personal or business purposes. No rights are granted except as expressly stated in these Terms.

10. Disclaimers

The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, Simple Mining disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Bitcoin mining involves inherent protocol, network, operational, market, and regulatory risks. Simple Mining does not guarantee mining output, hashrate, uptime, pool payouts, profitability, or any specific financial return. Nothing on the Site constitutes financial, investment, tax, or legal advice.

11. Limitation of Liability

To the fullest extent permitted by law, Simple Mining and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to your use of the Site or Services, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts you paid to Simple Mining for the specific Service giving rise to the claim during the twelve (12) months before the claim arose, or (b) one hundred U.S. dollars (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Simple Mining and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your violation of these Terms, or your violation of any rights of a third party.

13. Third-Party Services

The Site may link to or integrate with third-party websites, mining pools, payment processors, analytics tools, and other services. Simple Mining does not control and is not responsible for third-party services, their availability, or their policies. Your use of third-party services is at your own risk and subject to their terms.

14. Communications

By providing your contact information, you consent to receive service-related communications from Simple Mining by email, phone, or other reasonable means. Marketing communications are subject to applicable consent requirements and opt-out rights described in our Privacy Policy and SMS Terms, where applicable.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Site or Services after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Black Hawk County, Iowa, and you consent to personal jurisdiction in those courts.
